Exhibitor Terms & Agreements

The terms and conditions outlined herein have been established for the mutual benefit and protection of all Exhibitors, Attendees, and Expo Organizers and may not be modified unless by writing signed by both parties. By the purchase of an exhibitor booth space, Exhibitor agrees to these terms and conditions as an integral part of this binding contract. Please read carefully to avoid any misunderstandings.

Time for Acceptance of Agreement: Exhibitors are awarded on a first-come, first served basis. KCHB Expo reserves the right to approve and assign all exhibitors.

Expo Booking: To reserve an exhibitor space at the KCHB Expo, a signed agreement and 100% of the booth fee is required. The KCHB Expo retains the right to reject any exhibitor application.

Online Registration: By sending in an online application/registration form, you confirm the acceptance of our terms for the Online registration is binding.

Payments: PayPal, MasterCard, and Visa are acceptable forms of payment. All payments are nonrefundable.

Space: Distribution of exhibitor space will be assigned and priority given upon receipt of payment and agreement. All booth space assignments are at the sole discretion of KCHB Expo, however, KCHB Expo will consider all requests of paid exhibitors. All exhibits must remain assembled and staffed throughout exhibit hours until the official closing time. If an Exhibitor fails to occupy space contracted for or should exhibitor’s display or materials fail to arrive, the exhibitor shall not be relieved of the obligation of paying the full rental charge for space. If not occupied by the time set for completion of the installation of the displays, such space may be reallocated or reassigned. Exhibitors shall confine all marketing activities to within the limits of their own booths. Booth activities or materials which cause people to congregate in the aisles are prohibited. The level of sound-producing materials shall be kept low enough so as not to be objectionable to other Exhibitors. Exhibitors shall not produce sound during KCHB Expo Showcase. If displays extend beyond the confines of the booth and either block or obstruct an adjoining booth on either side, the exhibitor may be asked to alter the display. The determination may be made at KCHB Expo’s discretion. Exhibitors may not obstruct the view of immediate neighbors via draping, the construction of a wall, high shelving, or any other type of imposing structure. Exhibitors must also comply with all requirements of venue provider. The exhibit shall not obstruct the view of the adjoining exhibits. An Exhibitor shall not transfer, sublet, divide or share booth space. Program Book listings are limited to one entry per contracted exhibiting company.

Exhibitors will maintain an orderly and exhibit space. Exhibitors shall not stack materials in booth space leaving space cluttered and unkept. Exhibitors may not pin or tape anything to back drape; Loud or offensive exhibits, subject to KCHB Expo’s discretion, are not permitted; blocking aisles, soliciting customers in the aisles or handling materials out in the aisles is prohibited.

KCHB Expo will process orders and furnish services as may be required by the Exhibitor. Nails, pins, tacks, etc., must not be used on booth posts or drapes. No products or materials shall be hung, fixed, taped, glued, nailed and/or attached to any wall or column.

Licenses, Insurance, Permits: Exhibitors are fully responsible for obtaining all licenses, insurance or permits required and adhering to all applicable laws, ordinances, and statutes. Permits include, but are not limited to, a sales tax permit, as well as health permits for any Exhibitor selling, displaying or sampling food.

The Exhibitor shall carry and maintain all such insurance coverage as may be required to fully protect it against all risks assumed or incurred in or in connection with its exhibits, the exhibition or the convention, or under the terms and conditions of this contract. The Exhibitor shall obtain and keep in force during the term of the installation and use of the exhibit premises, policies of comprehensive general liability insurance and contractual liability insurance, insuring and specifically referring to the contractual liability set forth in this Exhibitor Agreement in an amount not less than $1,000,000 combined single limit for personal injury and property damage. In addition, the Exhibitor acknowledges that the KCHB Expo nor Ararat Shrine Temple does not maintain insurance covering Exhibitor’s property and that it is the sole responsibility of the Exhibitor to obtain business interruption and property damage insurance insuring any losses by the Exhibitor.

Clean Up: WHEN VACATED, booth space must be left clear of paper, packing materials and other refuse. Do not discard cartons or packing materials anywhere in the Exhibit Area.

Exhibit Representative: Each Exhibitor shall name one (1) person to be its onsite representative. Such representative shall direct installation, operation, and removal of the exhibit and be authorized to enter into necessary service contracts consistent with the provisions set forth herein.

Attendance: KCHB Expo shall have sole control over all admission policies at all times. Representatives of the Exhibitor will be required to register and wear an appropriate badge while in attendance in the exhibit hall. Exhibitor shall not: (1) make any material change in its exhibit or the displays therein after the initial installation; (2) fail to keep its exhibit fully open and properly staffed during the specified exhibit hours. KCHB Expo reserves the right to limit the number of exhibitor registrations based on Exhibitor type. The badges are not transferable to any other individual associated with the Exhibitor or any other exhibiting company. All representatives must be employees and/or consultants of the exhibiting company.

Electrical Connections: No electrical wiring, installations or connections shall be made by or for the Exhibitor without the prior consent of KCHB Expo and the Ararat Shrine Temple Kansas City. Such wiring installations and connections shall be made at the Exhibitor’s expense and solely in such manner, by such means, and through such contractors, as shall be designated by the Ararat Shrine Temple Kansas City.

Limitation of Liability:  Neither Show Management;  KCHB Expo; VJ Events, LLC;  Ararat Shrine Temple nor their agents are responsible for any property loss or injury that may occur to the person or property of exhibitors or their guest, invitees, employees, or agents from any cause whatsoever, including cancellations or impediments to the conduct of the event. The exhibitor upon signing the contract expressly holds harmless and releases the aforementioned from any and all claims for such loss, damage, or injury. The exhibitor agrees to pay for any damage (incurred through carelessness or caused by the exhibitor, his employees or agents) to the facility, its equipment, or to that of another exhibitor.

The Exhibitor assumes entire responsibility and agrees to protect, indemnify, defend, save, and hold harmless VJ Events, LLC and its agents, officers and employees against all claims, losses and damages, including attorney’s fees arising out of or caused by: Exhibitors installation, removal, maintenance, occupancy or use of exhibition premises or a part thereof; the use of any patents, trademarks, copyrights or other rights owned or processed by a third party.

EXHIBITORS, at their own expense, must obtain liability insurance of no less than $1,000,000 (US) naming VJ Events, LLC as additional insured. All exhibiting companies must provide a certificate of insurance upon request.  Insurance certificates can be mailed or emailed to vonzelle@vjeventsllc.com 

Any theft is to be reported to security at once. 

No Guarantee of Results: KCHB Expo does not warrant or guarantee any particular results of the Expo, workshops or seminars, nor does it guarantee a particular number of attendees or exhibitors.

Indemnification: Exhibitors display and exhibit property at their own risk. KCHB Expo does not assume any responsibility for loss or damage to Exhibitor’s property. KCHB Expo will not be held accountable for the death or injury of any person attending an event, or for any damages suffered by Exhibitor or its officers, agents, employees, or invitees as a result of any cause whatsoever. Exhibitor shall indemnify and hold KCHB Expo, its parent, subsidiaries, affiliates, sponsors, and their respective officers, directors, agents, and employees harmless from any suit or claim arising out of any action or failure to act by the Exhibitor. Exhibitor shall be liable for any and all damages caused by Exhibitor to the event building’s grounds, landscaping, floors, walls, columns, or any other part of the building, or to the chattels and fixtures of the building or any other Exhibitor or person or entity having property at the events building’s premises.

Cancellation: KCHB Expo reserves the right to cancel this event at any time prior to the date of the event with a refund of all amounts paid by participants to KCHB Expo in connection with this Agreement. Otherwise, all payments are non-refundable.

Reschedule: KCHB Expo reserves the right to reschedule the event date, times and/or location at its sole discretion. If an event is rescheduled, your registration will be valid for the rescheduled event and no refunds will be given.

Product/Service Exclusivity: Product/Service exclusivity is not guaranteed through this reservation, and this also includes brand and franchise exclusivity.

Miscellaneous: KCHB Expo Authority: KCHB Expo reserves the right, upon reasonable notice to the Exhibitor, to substitute alternate dates and/or facilities other than those originally planned for a particular event. Exhibitor, also hereby grants KCHB Expo permission to use Exhibitors’ name and/or logos for promotional purposes in connection with the Expo and/or other events produced by KCHB Expo. This permission shall extend to photographs of the Exhibitor’s Booth and videotaping.

The success of the Expo: KCHB Expo shall have the power to adopt and enforce exhibit attendance, rules, and regulations with respect to the kind, nature, and eligibility of any exhibitors adopted by it or set forth herein, and its decision on any question relating to this paragraph which may arise shall be final. KCHB Expo reserves the right to prohibit or remove any exhibit which, in its judgment, violates the character and integrity of the 2017 KC Health & Beauty Expo and/or VJ Events LLC, this reservation being all-inclusive as to persons, things, printed matter, products, and conduct.

Complete Agreement: This Agreement represents the entire agreement between the parties and supersedes all communications, understandings, or agreements, if any expressed or implied, whether written or verbal. KCHB Expo has made and makes no representation of any kind except those specifically set forth herein. In the event of any dispute to the terms of this Contract, the parties agree to consult with a professional mediator agreed upon by all parties prior to seeking legal action. The prevailing party shall be entitled to recover costs and attorney fees. This contract shall be interpreted and construed pursuant to the laws of the State of Georgia. Amendments to this agreement must be in writing and signed by both parties.

Upon acceptance of this application by KCHB Expo, this application shall be a legally binding contract between the Exhibitor and KCHB Expo.

WAIVER: Through submission of application information along with this Agreement, Exhibitor agrees to hold the Ararat Shrine Temple, staff, volunteers, VJ Events LLC and The KCHB Expo harmless for any and all losses, expenses, demands, and claims against the KCHB Expo and Ararat Shrine Temple sustained or alleged to have been in any way related or connected to the KCHB Expo. Exhibitor also agrees and acknowledges that the KCHB Expo, staff, volunteers or Ararat Shrine Temple, are not responsible in any way for any personal injury, illness, property damage or loss of property that may occur during the KCHB Expo. Exhibitor agrees, acknowledges and further certifies that the Exhibitor and Exhibitor’s property, equipment, and vehicles are properly insured for any and all losses incurred, and or damages caused, by Exhibitor or any other party. This document includes all components of the agreement of the parties and is fully incorporated herein. The Application materials provided by the Exhibitor to the KCHB Expo shall be incorporated herein by reference. No other promises made prior to the execution of this Agreement have been omitted from this document. The parties may mutually agree to modify this agreement; however, such modification shall only be binding upon the parties by signed written agreement. No oral modification or agreement outside the scope of this agreement shall be binding upon either party. The Exhibitor is an independent operator, and through this Agreement, no agency, partnership or joint venture relationship is created with the KCHB Expo. The Exhibitor, it’s owners, employees, or other agents shall not represent themselves as representatives of The KCHB Expo Exhibitor shall not enter into any contract or other agreement which would cause The KCHB Expo to be liable in any way with any other party, Including, but not limited to, manufacturers, Exhibitors, or other suppliers, etc. Exhibitor shall hold The KCHB Expo harmless from any cost or any other liability it may incur with the production of merchandise. The KCHB Expo makes no representation nor guarantees regarding actual The KCHB Expo attendance, nor makes any representation of potential financial success or failure.
